By using Duform’s services, you agree to the terms outlined below. These Terms govern your use of our website and services, including CNCLEAN and the DDT dynamic design tool.

1. Acceptance of Terms

By accessing or using our Services, you accept these Terms and agree to comply with them. If you disagree, do not use the Services.

2. Changes to Terms

We may update these Terms at any time. Changes will be posted on our website with an updated date. Your continued use of the Services constitutes acceptance of the new Terms.

3. License to Use Our Services

• Duform grants you a limited, non-exclusive, non-transferable, revocable license to use the Services, subject to compliance with these Terms.

• You may not copy, distribute, or create derivative works of any content from the Services without permission.

4. Restrictions

You agree not to:

• Reverse-engineer, disassemble, or modify the Services.

• Use the Services for illegal purposes or engage in harmful activities.

• Distribute or exploit the Services in unauthorized ways.

• Use automated processes (e.g., scrapers, bots) to collect data from the Services.

5. Account Creation and Security

To use the Services, you must create an account. You are responsible for maintaining the security of your account and ensuring the accuracy of your information.

You must not impersonate others, violate intellectual property rights, or use offensive usernames. If your account is compromised, you must notify us immediately.

 

Arbitration Notice

Disputes between you and Duform will be resolved through mandatory arbitration. You waive your right to participate in class-action lawsuits.

 

 

5. Payment Terms

5.1. Billing and Payment

You can choose between a monthly or annual plan, and your credit card on file will be charged on a recurring basis. All payments are due in U.S. dollars for both U.S. and international customers, in CAD dollars for Canadian customers, or another agreed currency with Duform. All fees are exclusive of taxes, which will be added at the prevailing rate.

By subscribing to a paid plan, you agree to pay all charges according to your selected plan. Your subscription will automatically renew at the end of the term unless canceled as specified below.

5.2. Cancellation Policy

Once you request cancellation, no further charges will be made. However, no refunds (prorated or otherwise) will be issued upon cancellation, and no exceptions will be made.

5.3. Free Trial

Duform may offer trial periods for certain products. No payment information is required during a free trial, but your access will expire at the end of the trial. If you subscribe during the trial, you will be charged immediately, but you'll retain access to trial features until the trial period ends.

5.4. Monthly Plan Billing

Duform's monthly plans provide month-to-month access. Charges are applied on the renewal date (the same day each month as your sign-up date). Monthly plans automatically renew every month. If you cancel before the next renewal date, you'll have access until the end of the current month.

Some products may have additional plan-exclusive usage charges. These are added on top of the regular monthly fee and may be charged either monthly or at another time.

5.5. Annual Plan Billing

Duform's annual plans offer year-to-year access with savings over the monthly plan. Charges are made on the renewal date (the same day each year as your original sign-up). Annual plans also automatically renew every year.

Like monthly plans, some products may have additional charges for plan-exclusive usage, which are calculated and billed monthly.

5.6. Failed Charges and Suspension

If your payment is unsuccessful due to incorrect or outdated credit card information, you must update your details immediately. If the issue remains unresolved within seven days of an invoice, Duform may suspend your account without liability. You will need to make full payment for all outstanding charges to reactivate the account.

 

6. User Content

6.1. User Content Responsibility

You are responsible for the accuracy and completeness of any information or content you provide while using the services. You agree to respect the intellectual property and rights of Duform and other users.

​

6.2. Ownership and License of User Content

You retain ownership of your content (such as document layouts, source code, images, videos, etc.) but grant Duform a worldwide, perpetual, non-exclusive, royalty-free, and transferable license to use, modify, distribute, and display your content for providing services.

Once published, your content may not always be withdrawn. You must ensure that you have the necessary rights to use and share your content.

6.3. Feedback

Any feedback you provide (such as suggestions or improvements) becomes the property of Duform. You grant Duform a perpetual, royalty-free license to use and adapt your feedback.

6.4. Content Provided by Others

The services may include content from other users or third parties. Duform is not responsible for the quality or accuracy of such content. You assume responsibility for any risks associated with interacting with this content.

 

7. Prohibited User Content

You agree not to transmit any content that:

1. Is unlawful or promotes unlawful activities.

2. Defames, harasses, abuses, threatens, or incites violence.

3. Is discriminatory, pornographic, or targets individuals based on religion, gender, race, age, etc.

4. Is spam or unsolicited advertising, including chain letters or gambling.

5. Contains malicious software or any content that disrupts services or attempts unauthorized access.

6. Infringes on proprietary rights, including patents, trademarks, or copyrights.

7. Impersonates others, including Duform employees.

8. Violates privacy rights or discloses confidential information without consent.

8. Review of User Content

​

8.1. Enforcement

Duform does not commit to screening, reviewing, or filtering User Content or the behavior of users. While Duform may review User Content manually or automatically, we are not obligated to do so. We reserve the right to investigate and take appropriate action, at our discretion, if you violate the Terms or create liability for Duform or others. Actions may include removing or modifying your User Content, terminating your Account, or reporting you to law enforcement authorities.

8.2. User Content Liability

Duform is not liable for any loss, deletion, or failure to deliver User Content, whether due to technical issues such as computer viruses or unauthorized access. You are encouraged to back up your content, as Duform will not be responsible for any loss. We also reserve the right to deny access to the Services and remove User Content at any time without notice.

 

9. No Legal Advice; Electronic Communication

9.1. No Legal Advice

The Services do not provide legal advice, and Duform is not a law firm. Although we strive to offer accurate and helpful information, we recommend consulting with a lawyer for legal advice. Duform is not involved in any agreements between you and other users and does not provide legal opinions or referrals.

9.2. Local Laws

Your use of the Services may be subject to local laws, depending on your location. You agree to comply with these laws and confirm that electronic signatures used through the Services have the same legal validity as manual signatures where permitted by law.

9.3. Electronic Communications

By using the Services, you consent to receiving communications from Duform in electronic form. This includes emails, notices, and other communications related to the Services. You agree that all electronic communications from Duform satisfy any legal requirements for written communications, including terms, notices, and disclosures.

 

10. Term; Termination

The Terms remain in effect as long as you access or use the Services. Duform reserves the right to terminate your Account and/or access to the Services at any time, with or without cause or notice. Termination may include the deletion of your User Content from our databases, and you agree that Duform will not be liable for such removal. If you wish to terminate your Account, you can do so through your Account settings. Duform will not be liable for any loss or damage caused by termination, including the deletion of your User Content.

 

11. Disclaimer of Liability

11.1. Dispute Involvement

Duform is not obligated to intervene in disputes between you and other users or incidents related to the Services. We are not responsible for any outcomes of such disputes or incidents.

11.2. User Content Liability

Duform disclaims all liability for any issues arising from User Content, including errors, viruses, defamation, obscenity, inaccuracies, or prohibited content. You are solely responsible for any damage caused by your use or submission of User Content, including issues resulting from disputes, transactions, or other incidents. Duform is not responsible for unauthorized access to your Account, nor for any transmission of viruses or other malicious content.

 

12. No Liability for Lost Data

12.1. Data Storage Limits

If Duform provides web hosting or storage services through the Services, we may impose limits or restrictions on the use of the Service, including limits on storage space, file sizes, or data transfer. Content exceeding these limits may be deleted or not accepted for storage, and Duform will not be liable for any loss of such content.
